What Is a Digital Signature?
The terms electronic signature and digital signature are often used interchangeably in everyday conversation, but they have technically distinct meanings.
An electronic signature is any electronic indication of a person's intent to agree to the contents of a document. The key element is intent — the person voluntarily indicates their agreement in some electronic form.
A digital signature is a specific, more technical type of electronic signature. It relies on Public Key Infrastructure (PKI) — a system of cryptographic certificates issued by a trusted Certificate Authority. When a document is digitally signed with PKI, a mathematical hash is generated and encrypted with the signer's private key. Anyone with the corresponding public key can verify that (1) the signature belongs to the claimed signer and (2) the document has not been altered since it was signed.

Is a Digital Signature Legally Binding in Canada?
Yes — for most documents. Canada has a robust electronic signature legal framework at both the federal and provincial levels. Here is how it works:
Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) provides the federal foundation. Part 2 of PIPEDA establishes that electronic signatures and documents have the same legal validity as handwritten signatures and paper documents for federal private-sector matters. Federal contracts, employment agreements governed by federal legislation, and documents submitted to federal agencies can all be signed electronically under PIPEDA.
The Uniform Electronic Commerce Act (UECA) is model legislation adopted by most Canadian provinces including Ontario, British Columbia, Alberta, Nova Scotia, and others (with local variations). Under UECA-based laws, electronic signatures are as legally binding as wet signatures for most provincial contracts. Ontario's Electronic Commerce Act (2000), BC's Electronic Transactions Act, and Alberta's Electronic Transactions Act all flow from this framework.
Quebec operates under its own distinct legal tradition (civil law) and has its own e-signature statute: the Loi concernant le cadre juridique des technologies de l'information (LCCJTI). For an electronic signature to be valid under LCCJTI, it must: (1) be linked to the signatory, (2) be created using a reliable technology, and (3) allow confirmation of the signatory's identity.
